1. ACCEPTANCE OF TERMS

By accessing or using the website www.startbioservices.us and its associated marketplace platform (the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and our Global Compliance Standard, all of which are incorporated by reference. If you do not agree, you must not use the Services.

Start Bioservices Inc. operates solely as an online marketplace intermediary. Start Bioservices is not the seller, manufacturer, importer, exporter, distributor, agent, contractor, or legal representative of any Supplier or of any product or service listed on the platform. All legal obligations relating to product quality, labeling, storage, cold-chain requirements, regulatory approvals, certifications, international transport, scientific or medical claims, and compliance remain solely with the Supplier.

2. DESCRIPTION OF SERVICES

Start Bioservices Inc. operates an online B2B2C marketplace platform that connects buyers (“Buyers”) of life sciences and advanced technology products and services with suppliers (“Suppliers”). Start Bioservices acts as an intermediary and is not the seller of items listed by Suppliers. Start Bioservices does not take ownership, custody, or physical control of Supplier inventory, nor does it enter into purchase contracts on behalf of Buyers or Suppliers.

Start Bioservices may, at its sole discretion, suspend, refuse, or restrict listings or transactions that involve prohibited items, biological safety risks, controlled technologies, export-controlled materials, sanctioned countries, or activities inconsistent with applicable laws, regulations, or platform policies.

3. ACCOUNT REGISTRATION AND SECURITY

Eligibility: You must be at least 18 years old and have the legal capacity to enter a binding contract.

Account Types: You may register as a Buyer or a Supplier. You agree to provide accurate, current, and complete account and business information at all times and to keep such information updated.

Security: You are responsible for safeguarding your password and for all activities under your account. You must notify us immediately of any unauthorized use.

Start Bioservices may request identity verification, business registration documents, certifications, or export authorization evidence at any time. Accounts may be suspended, terminated, or restricted if associated with fraud, chargebacks, non-delivery of goods, regulatory violations, unsafe products, unauthorized access to buyer data, or refusal to provide requested verification.

4. USER RESPONSIBILITIES AND CONDUCT

Buyers: Buyers are responsible for reviewing product and service listings, specifications, pricing, certifications, storage or handling requirements, and Supplier terms before placing an order. All purchases are subject to availability and confirmation by the Supplier. Buyers acknowledge that Start Bioservices does not verify the scientific, regulatory, or clinical accuracy of Supplier claims.

Suppliers: Suppliers are responsible for the accuracy, quality, legality, safety, and regulatory compliance of the products and services they list. Suppliers must fulfill orders as described and comply with applicable laws, regulations, and industry standards, as detailed in the Global Compliance Standard. Suppliers set their own prices and shipping terms and bear full responsibility for packaging, labeling, customs declarations, international transport compliance, temperature-controlled logistics (if required), and after-sales support.

Trade Compliance: All users, particularly Suppliers, commit to NOT using the Services to conduct transactions with individuals, businesses, or entities located in, or associated with, countries deemed high-risk, including but not limited to Belarus, Cuba, Iran, North Korea, Russia, and Syria. Users understand that transactions involving the United Arab Emirates, Turkey, Kazakhstan, or any other country defined as high-risk by Start Bioservices may be subject to additional scrutiny, require supporting documentation, and may be rejected or suspended at Start Bioservices’ sole discretion.

Start Bioservices may freeze funds, suspend accounts, cancel listings, or report suspicious activity to regulatory authorities or law enforcement if there is suspected violation of sanctions, export-control laws, biological safety regulations, or fraud.
Prohibited Activities: You agree not to use the Services for any illegal purpose; not to post falsified, misleading, or infringing content; not to transmit malware or harmful code; not to interfere with the integrity of the platform; and not to engage in fraudulent, deceptive, anti-competitive, or unsafe practices, including falsified lab certifications or misrepresentation of research-use or clinical-use approvals.

5. INTELLECTUAL PROPERTY

Our Content: All content provided by Start Bioservices on the Services—including text, software, platform interfaces, design elements, trademarks, and branding—is the property of Start Bioservices or its licensors and is protected under intellectual property laws.

Your Content: By posting content, you grant us a non-exclusive, royalty-free, worldwide license to use, display, transmit, and distribute that content in connection with the Services. You represent that you own or have the necessary rights and authorizations to post such content.

Content that is suspected of infringing trademarks, copyrights, trade secrets, or proprietary rights may be removed without notice in accordance with the DMCA or applicable international equivalents. Repeated infringement may result in account suspension or termination.

6. FINANCIAL TERMS & SETTLEMENT

Purchases: Buyers agree to pay all charges incurred at the prices in effect at the time of purchase. Payment may be processed through PayPal, bank wire transfer, credit card processors, or other designated payment providers.

Settlement with Suppliers: Start Bioservices operates on a collection-and-settlement model. As the intermediary, we collect payment from Buyers. After successful order fulfillment, Start Bioservices will remit the net amount due to the Supplier (sale price minus applicable platform fees, transaction fees, or other deductions as outlined in the separate Supplier Agreement). This settlement is not a direct payment from Start Bioservices for the product, but a disbursement of collected funds.

Start Bioservices may delay or withhold settlement to Suppliers if an order is subject to dispute, investigation, regulatory concerns, safety issues, product non-delivery, cold-chain failure, quality complaints, chargebacks, fraud claims, or violations of the Global Compliance Standard. Start Bioservices may freeze Supplier funds, reverse payouts, deduct penalties or damages from future settlements, or recover losses directly from Supplier accounts.

Supplier Fees and Taxes: Suppliers may be subject to fees detailed in the Supplier Agreement. Suppliers are solely responsible for determining, collecting, reporting, and remitting all applicable taxes on their sales. Start Bioservices does not provide tax, customs, scientific, or regulatory advice and is not responsible for misclassification, incorrect tariff assignments, or regulatory non-compliance by Suppliers.

7. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

“As Is” Basis: THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Third-Party Interactions: We are not a party to transactions between Buyers and Suppliers. We do not endorse, warrant, or guarantee any Supplier’s products, claims, certifications, safety, performance, results, shelf-life, storage condition, or regulatory status. All transactions are at the users’ own risk. Disputes regarding orders are to be resolved directly between Buyer and Supplier.

Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, START BIOSERVICES INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, LOST-PROFIT, LOSS OF DATA, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES OR TRANSACTIONS CONDUCTED THROUGH IT. If liability is required by law, the total cumulative liability of Start Bioservices shall not exceed the total platform fees paid by the Supplier during the preceding 12 months.

8. INDEMNIFICATION

You agree to indemnify and hold harmless Start Bioservices Inc., its officers, directors, employees, and agents from any claims, regulatory penalties, product-related losses, or legal costs arising from your use of the Services, your violation of these Terms, your infringement of third-party rights, or your sale or shipment of prohibited, unsafe, or non-compliant goods.

9. TERMINATION

We may suspend or terminate your account and access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon suspension or termination, you must immediately stop using the platform and cease representing any affiliation with Start Bioservices.

Start Bioservices may freeze funds, cancel pending settlements, retain transaction records, or provide information to regulatory or law-enforcement authorities if necessary for compliance, dispute resolution, fraud investigations, or legal claims.

Users remain responsible for unpaid balances, chargebacks, product liabilities, or regulatory violations occurring before account termination. Start Bioservices may retain transaction and communication records for up to five (5) years to comply with legal, audit, and fraud-prevention obligations.

10. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute shall be resolved through final and binding arbitration in San Diego, California, rather than in court. Users agree that arbitration shall be confidential and conducted on an individual basis, not as a class action.

11. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on the Site. Your continued use constitutes acceptance.
